Nebraska Community Improvement Districts: An Overview of CIDs

CID Key Players

One of the most critical factors in the success of a CID is the strength and coordination of its professional team. This team – comprised of a CID attorney, engineer, municipal advisor, and accountant – works together to guide the District through formation, financing, construction, and long-term operation. These professionals advise the Board of Trustees, which is initially comprised of the developer before transitioning to a resident board.

 

PHASE I: District Formation and Construction

Attorney

  • Advises developer on land acquisition and purchase agreements
  • Leads preliminary platting process with City or Village Planning Department and coordinates final plat approval and subdivision agreement
  • Facilitates the legal formation of the CID through the city or village
  • Provides ongoing legal guidance and ensures compliance with applicable laws

Engineer

  • Designs the subdivision layout, prepares plats, and develops construction plans
  • Prepares and refines project cost estimates throughout the development process
  • Develops bid documents, manages the bidding process, and recommends qualified contractors
  • Oversees construction progress, ensuring quality and adherence to plans and specifications
  • Reviews completed work and recommends contractor payments
  • Prepares and allocates special assessments

Municipal Advisor

  • Serves in a fiduciary capacity to the District, providing strategic financial guidance throughout the project
  • Evaluates project feasibility, determines debt capacity, and recommends optimal financing structures
  • Assists in negotiating key agreements, including subdivision, interlocal, and underwriting/debt purchase agreements
  • Identifies funding options and negotiates terms in the issuance of warrants and bonds, including preparation of offering documents in coordination with bond counsel
  • Provides ongoing budget, cash flow, and levy recommendation analysis, along with monitoring warrant issuance and District finances
  • Ensures compliance with disclosure requirements and delivers ongoing financial reporting and advisory support

 Accountant

  • Prepares the District’s annual budget
  • Conducts year-end audits and financial reporting

 Board Of Trustees (5 Member Board)

  • Controlled initially by the developer
  • Oversees bidding and contracting for public improvements
  • Awards construction contracts and approves contractor payments based on engineer recommendations
  • Authorizes and issues warrants
  • Levies special assessments
  • Monitors infrastructure progress and the District’s overall financial status

PHASE II: District Buildout and Operation

Attorney

  • Provides ongoing legal counsel related to state statutes, governance, and district decisions
  • Facilitates Board meetings and official actions
  • Assists with annual budgeting and ensures legal compliance

Engineer

  • Acts as the District’s public works advisor
  • Monitors the condition and performance of public improvements
  • Recommends and prioritizes maintenance, repairs, and capital improvements

Municipal Advisor

  • Coordinates contractor and professional payments following warrant issuance
  • Assists with ongoing warrant issuance and debt management, including bond structuring and issuance
  • Provides annual budget, cash flow analysis, and levy recommendation
  • Ensures compliance with continuing disclosure requirements (IRS and SEC)
  • Coordinates redemption of warrants and manages district funds
  • Delivers ongoing financial reporting, project analysis, and refinancing recommendations

Board of Trustees (5 Member Board)

  • Transitions from developer control to resident representation (typically within 6–8 years)
  • Establishes the District’s annual tax levy
  • Approves ongoing maintenance and capital improvement projects, if any
  • Oversees financial operations, including warrant issuance and payments
  • Monitors the District’s financial health and infrastructure performance
